MOSAIC AISLES, LLC — Membership Agreement Terms & Conditions
Effective 2026

These Terms and Conditions govern the Membership Agreement (the "Agreement") by and between Mosaic Aisles, LLC ("Mosaic Aisles") and the licensee ("Shop Owner"), and set forth the entire understanding of the parties regarding the use and occupancy of licensed allocated space at the Mosaic Aisles marketplace located at 5800 S. Flamingo Road, Cooper City, Florida. By signing the Signature and Acceptance Page, the Shop Owner agrees to be bound by all of the terms below. The specific monthly fee, commission rate, security deposit amount, and space identification are set forth in Schedule A.

1. Overview & Nature of the License

Mosaic Aisles offers a vibrant retail experience specializing in gifts, home decor, boutique clothing, and much more, while empowering local entrepreneurs. The sole, non-exclusive, and limited right provided to the Shop Owner is a license to use the allocated space. This non-exclusive license creates no leasehold, tenancy, easement, or other possessory interest in real property. The initial term is twelve (12) months commencing on the Effective Date, renewing automatically for successive twelve (12) month terms unless terminated in accordance with this Agreement.

2. What to Sell

Approved categories

• Gifts; home decor; clothing, accessories, and shoes; furniture
• Candles, fragrances, and soaps; children's clothing and toys
• Pet products; handmade, curated items, and art; patio and garden
• Packaged, non-perishable foods (in approved markets)

Prohibited items

• Used items, counterfeit items, mattresses, electronic devices, magazines, CDs/DVDs
• Sexually explicit items, weapons, mass-merchandising platform goods (Temu, Shein, Wish)
• Regulated items (alcohol, tobacco, cannabis/CBD, firearms, regulated foods, pharmaceuticals)
• Recalled or CPSC-banned items; anything inconsistent with Mosaic Aisles' brand standards

3. Physical Spaces

Mosaic Aisles provides the space and walls; Shop Owners may personalize within the allocated space following posted guidelines. Pre-approved paint colors only, with written approval before painting. Displays must maintain the upscale boutique atmosphere. Flooring must be floating (no adhesives) and removed at term end. One power strip per outlet; no daisy-chaining.

4. Retail Operations

The location is generally open daily, closed Easter, Thanksgiving, Christmas, and New Year's Day, plus inclement-weather closures. Shoppers may return unused, non-damaged items within 48 hours with original tag; no returns on consumables. Mosaic Aisles uses a real-time point-of-sale system; Shop Owners receive a system ID to view sales and manage inventory. Mosaic Aisles collects and pays consumer sales tax. All operational data remains the sole property of Mosaic Aisles.

5. Marketing & Social Media

Mosaic Aisles promotes the marketplace across social media, press, email, and traditional media. Shop Owners grant Mosaic Aisles a license to use their shop name, likeness, and marketing materials for promotional purposes. A non-disparagement provision applies during the Term and for two years following.

6. Account Management

Shop Owners may share space with up to two others upon written approval; no assignment or sublicense without consent. Mosaic Aisles may increase the monthly fee at renewal by the greater of 3% or CPI-U (South Region). Shop Owners must carry commercial general liability insurance of $1,000,000 per occurrence / $2,000,000 aggregate, naming Mosaic Aisles as additional insured. The space is provided AS-IS. Indemnification and limitation-of-liability provisions apply.

Security deposit & monthly fees. The security deposit is half of the monthly fee for a 12-month plan and is refundable when the Moving Out conditions are met. The monthly fee is due on the 1st of each month; Mosaic Aisles deducts fees and commission from prior-month sales.

7. Payment & Account on File

Shop Owners must keep a valid payment method on file at all times. By signing, the Shop Owner authorizes Mosaic Aisles to automatically charge that method for any balance owed, including monthly fees, commission shortfalls, late fees, and damages. Declined payments incur a 10% late fee after ten days plus a $35 returned-payment fee, and may restrict point-of-sale access.

8. Moving Out & Termination

Shop Owners may elect not to renew with at least 30 days' written notice to terminations@mosaicaisles.com. Early termination results in forfeiture of the deposit plus remaining fees, or an early termination fee. Events of Default include non-payment, abandonment, and insurance lapse. A performance-termination provision applies to spaces with no recorded sales over three consecutive months.

9. Security Interest & Reserved Rights

The Shop Owner grants Mosaic Aisles a continuing UCC Article 9 security interest in inventory and property within the space. Mosaic Aisles reserves rights to inspect, relocate the Shop Owner with 30 days' notice, amend brand standards, and assign the Agreement. A 24-month confidentiality and non-circumvention obligation applies.

10. General Provisions

Governed by Florida law; disputes resolved by individual arbitration (AAA commercial rules) with a 30-day opt-out right, venue Broward County. Prevailing-party attorneys' fees; jury-trial waiver. This Agreement, with its schedules, is the entire agreement and may be amended only in writing signed by Mosaic Aisles. Electronic signatures are binding.
